We have an exciting opportunity for an exceptional individual to work supporting one of our clients as a Legal Counsel

Preferred experience:

Corporate Counsel who will be focused on a wide range of technology related commercial transactions to join the Nearshore Legal Team based in Guatemala.

The Cognizant Legal team is looking for a Commercial Transactions Corporate Counsel who will be focused on a wide range of technology related commercial transactions to join us in Latin America In this role you will be responsible for the full range of legal responsibilities associated with Cognizants commercial transactions including:

-1 negotiating commercial contracts with our customers many of which are represented by top law firms

-2 addressing legal queries from business teams across various aspects of the law the contract and the customer relationship including compliance intellectual property privacy litigation and employment

-3 collaborating with fellow attorneys to develop and maintain templates playbooks contracting policies negotiation practices and escalation procedures

This fastpaced role requires excellent communication and time management skills As Commercial Transactions Corporate Counsel you will either work as an assigned vertical attorney or work in a broader role for multiple verticals.

You will have the following qualifications At least 3 years experience as a practicing lawyer inhouse for a major multinational corporation Graduate of top Law School in Latin America LLM from US Law School or at least two years graduate study in the US or four years undergraduate studies in the US is preferred

Experience in negotiating contracts governed by US law providing legal advice to US business units reviewing and redlining MSAs SOWs change orders amendments supplier agreements and nondisclosure agreement

Prior exposure to IT outsourcing is a major plus Experience in a wide variety of contract drafting and negotiations preferably representing a client without significant contracting leverage

Exposure to master service agreements software as a service agreements or other commercial agreements with complex intellectual property licensing privacy indemnity and liability issues

Ability to work efficiently meet demanding deadlines in a fastpaced environment prioritize work and adjust to frequent workload fluctuations across multiple time zones
